Item 8.01 Other Events
On February 4, 2021, Full House Resorts, Inc. (the “Company”) issued a press release announcing the pricing of its offering of $310 million in aggregate principal amount of 8.25% senior secured notes due 2028 (the “Notes”) at a price of 100% of the principal amount of the Notes. The Notes are being offered in a private debt offering pursuant to an exemption from the registration requirements of the Securities Act of 1933, as amended (the “Securities Act”). The offering of the Notes is expected to close on February 12, 2021, subject to satisfaction of customary closing conditions.
The Notes are being offered and sold only to persons reasonably believed to be qualified institutional buyers in reliance on Rule 144A under the Securities Act and in offshore transactions in reliance on Regulation S under the Securities Act. The Notes and related guarantees will not be registered under the Securities Act or any state securities laws and may not be offered or sold in the United States absent registration or an applicable exemption from registration requirements.
The press release announcing the pricing of the private debt offering was issued in accordance with Rule 135c under the Securities Act. A copy of the press release is attached as Exhibit 99.1 and incorporated by reference into this Item 8.01.
